Provider Service Agreement

1. Overview

This Provider Service Agreement ("Agreement") governs the relationship between Galaxy Parties ("Galaxy Parties," "we," or "us") and you, the independent service provider ("Provider," "you"), for the listing and provision of entertainment services through the Galaxy Parties platform. By submitting an application and checking the agreement box, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Independent Contractor Status

You are an independent contractor, not an employee, agent, or representative of Galaxy Parties. You are solely responsible for your own taxes, insurance, licenses, and business operations. Nothing in this Agreement creates an employer-employee relationship, partnership, or joint venture between you and Galaxy Parties.

3. Platform Role

Galaxy Parties operates as a marketplace connecting clients with entertainment providers. We facilitate inquiries, bookings, communication, and payment processing. Galaxy Parties does not employ providers and does not guarantee any minimum number of bookings or income. We reserve the right to approve, decline, or remove provider listings at our discretion.

4. Provider Obligations

  • Maintain a professional demeanor and appearance at all events.
  • Arrive on time and fully prepared for every booked event.
  • Provide the services as described in your profile and listing.
  • Communicate promptly with Galaxy Parties staff and clients through the platform.
  • Maintain accurate availability and pricing information in your profile.
  • Respond to booking inquiries and messages within 24 hours.
  • Notify Galaxy Parties immediately of any scheduling conflicts, cancellations, or changes to your service area.

5. Pre-Booking Communications & Platform Integrity

Galaxy Parties facilitates communication between clients and providers through the platform's built-in messaging system. Before a client selects a provider and pays the required Galaxy Parties deposit (the "Pre-Booking Period"), providers may communicate with clients through the platform to answer questions, discuss event details, and build rapport — but may not use those communications to move the booking off-platform.

5.1 What Is Prohibited During the Pre-Booking Period

During the Pre-Booking Period, providers must not share, request, or solicit any of the following through platform messages, regardless of how the information is formatted or disguised:

  • Direct phone numbers or SMS contact details.
  • Personal or business email addresses.
  • Website URLs or links to external booking pages.
  • Social media handles or profile links (Instagram, Facebook, TikTok, etc.).
  • Direct-payment information, including Venmo, CashApp, Zelle, PayPal, or other payment app handles.
  • Instructions to contact, message, or pay outside the Galaxy Parties platform.
  • Any other information intended to bypass Galaxy Parties' booking, communication, or payment systems.

This includes attempts to obscure contact or payment information — for example, spelling out a phone number digit by digit, writing an email as "john at gmail dot com," or using abbreviations, emojis, or phonetic spellings to disguise prohibited content. The intent to circumvent the platform is what matters, not the specific format.

5.2 Automated Message Review

To protect the integrity of the marketplace, Galaxy Parties may use automated systems, including artificial intelligence (AI), to review pre-booking communications for potential policy violations. Messages sent during the Pre-Booking Period are scanned before delivery. If a message is flagged as potentially containing prohibited content:

  • The message may be withheld from delivery pending revision or manual review.
  • The sender will be notified that the message was not delivered.
  • The sender may revise the message, use an AI-suggested compliant version, or request human review.

Flagged messages and their review outcomes are logged for audit and quality-assurance purposes. Repeated violations may result in account suspension or removal from the platform.

5.3 Requesting Human Review

If a provider believes a message was incorrectly flagged, they may request human review by clicking the "Request Review" option in the flag notification. A Galaxy Parties team member will review the original message, the AI's determination, and any explanation the provider provides, and will approve, edit, or reject the message. The provider will be notified of the outcome.

5.4 When Restrictions Are Lifted

Once the client selects the provider and the required Galaxy Parties deposit is successfully paid, the booking becomes confirmed. At that point, the Pre-Booking communication restrictions are lifted, and appropriate full contact information may be made available to both parties for event coordination. Normal post-booking coordination messages are not subject to the pre-booking scanning described above.

6. Payments & Fees

Galaxy Parties collects the client deposit through the platform. The provider arranges directly with the client to collect the remaining balance. Providers are responsible for reporting their own income to applicable tax authorities.

7. Cancellations

Providers must provide a minimum of 14 days' notice for any cancellation of a confirmed booking. Failure to provide adequate notice may result in penalties, including removal from the platform. In cases of emergency, contact Galaxy Parties immediately so alternative arrangements can be made. Clients also have cancellation rights, which are communicated separately.

8. Insurance & Safety

Providers must maintain current liability insurance appropriate for their services and service area. Proof of insurance may be requested at any time. Providers working with animals, inflatables, or other specialized equipment must maintain all required permits and certifications. Providers are responsible for conducting themselves safely and professionally at all events, especially those involving children.

9. Background Checks

Galaxy Parties may require background checks for providers working at events involving children. Providers must consent to and pass any required background checks as a condition of listing on the platform. Failure to pass or consent to a background check may result in removal.

10. Code of Conduct

Providers must conduct themselves with professionalism, respect, and integrity at all times. This includes interactions with clients, children, Galaxy Parties staff, and other providers. Any behavior that is abusive, discriminatory, unsafe, or otherwise inappropriate may result in immediate removal from the platform.

11. Profile & Marketing

Providers are responsible for maintaining accurate and up-to-date profile information, including services offered, pricing, availability, and service areas. Galaxy Parties reserves the right to edit or remove profile content that is inaccurate, misleading, or violates platform policies. Providers grant Galaxy Parties a non-exclusive license to use their profile content, photos, and descriptions for marketing and platform purposes.

12. SMS & Notifications

By agreeing to receive text messages, you consent to receive booking notifications, inquiry alerts, and platform communications via SMS at the phone number provided. Standard message and data rates may apply. You may opt out at any time by replying STOP to any message.

13. Termination

Either party may terminate this Agreement at any time with written notice. Galaxy Parties may terminate or suspend a provider's listing immediately for violations of this Agreement, platform policies, or applicable law. Upon termination, providers must complete any confirmed bookings or work with Galaxy Parties to transition them to another provider.

14. Limitation of Liability

Galaxy Parties is not liable for any damages, losses, or injuries arising from a provider's services or actions. Providers indemnify and hold harmless Galaxy Parties from any claims, damages, or liabilities arising from their performance of services. Galaxy Parties' liability is limited to the fees collected for the specific booking in question.

15. Modifications

Galaxy Parties may update this Agreement at any time. Continued use of the platform after changes constitutes acceptance of the updated terms. Providers will be notified of significant changes via the platform or SMS.
